Microsoft AGM
MSFT filed their 2023 DEF 14A this evening
On the docket:
Election of 12 directors
2 new nominees, the Group CEO at Engie and CFO at Citigroup
Lowest support last AGM: Chair-CEO, 94.8%
Say-on-Pay
Support in 2022 was 88.8%
CEO pay dropped roughly 12% YoY (from $54.9mn to $48.5mn)
9 shareholder proposals, 2 of which are anti-ESG proposals
Anti-ESG proposals:
Proposal 5 is a new flavor from NLPC and has not been proposed at any other company (that I can see).
Proposal 6 is a repeat from NCPPR: the proposal garnered 1.9% at Kroger earlier this year, and 1.4% support at Comcast in 2022. In 2020, it failed to break 1% support at Netflix and Twitter, and received 1.5% at Starbucks.
Note that the “Cost/Benefit Analysis of Diversity and Inclusion” anti-ESG proposal last AGM received just 1.3%
Remaining shareholder proposals

Last year’s results:
